An established and expanding secretarial company urgently looking for dynamic and self motivated candidates to fill the following positions:
~CHARTERED COMPANY SECRETARY~
Responsibilities:
Preparation of Circular Resolutions, Minutes of General Meetings, Annual Returns and statutory forms or documents
Ensuring proper and timely filing of the statutory forms or returns to the CCM (Companies Commission of Malaysia/SSM)
Monitoring and ensuring that the statutory records or registers are properly kept and updated
Preparation of Form 32A and other relevant documents for transfer of shares, and subsequent issuance of share certificates
Preparation of documents or forms for opening of Bank or CDS Accounts and change of authorised signatories (including updating of these accounts)
Preparation of documents or forms for certification by Company Secretary
Arranging for signatures on resolutions or documents (including follow-up and filing of the same)
Assisting in organising Board or Committee Meetings and General Meetings, as well as preparation of agenda papers or meeting files for these Meetings
Ensuring compliance with the Companies Act 1965 in relation to Director’s Notification pursuant to Sections 131 / 134 / 135, etc. and other relevant legislations
Liaising with the External Auditors during audit review and to provide information as requested by the Auditors
To have a clear understanding of the Company’s Memorandum and Articles of Association and Shareholders or Joint Venture Agreements, where applicable
Any other duties as and when assigned from time to time
Requirements:
Male
Malay
Candidate must possess at least a ICSA or related qualification and possess company secretarial license.
At least 5 year(s) of working experience in the related field is required for this position.
Familiar with Companies Act, SC Guidelines and other related laws and regulations
Familiar with all aspect of company secretarial works pertaining to the lodgement of documents and forms with CCM (Companies Commission of Malaysia/SSM) and drafting resolutions.
Able to manage portfolio of clients indepedently.
Excellent communications skills.
Applicants must be willing to work in Ampang.
Preferably Managers specializing in Secretarial/Executive or equivalent.
